Barq Automations (https://barqautomations.com) is an independent software and digital automations agency service based in Egypt. Barq Automations currently operates independently prior to formal corporate registration and is not yet registered as a separate legal entity.

These Terms of Service (“Terms”) govern your access to and use of the Barq Automations website, applications, and services (the “Service”). By creating an account, executing a Statement of Work (SOW), or using the Service, you ("Client" or "User") agree to these Terms and our Privacy Policy.

If you do not agree, do not use the Service. We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date. Continued use after changes means you accept the updated Terms.

1. Services Provided

Barq Automations offers custom web design, digital automations development, and AI integration services, including but not limited to:

  • Custom Web Design & Web Application Development (built on TanStack Start).
  • Custom AI Chatbots trained on client-provided knowledge bases and business data.
  • Automated Lead Follow-up and Missed-Call Text-Back integrations.
  • Automated Customer Review Reactivation Campaigns.
  • Custom Workflow Automations (CRMs, scheduling systems, and third-party APIs).

2. Client Obligations & Data Integrity

  • Accuracy of Information: Client is solely responsible for providing complete, accurate, and lawful business information, data, knowledge base content, and marketing materials required to build and train the Services.
  • Consents & Marketing Compliance (TCPA/SMS Laws): The Client is strictly responsible for ensuring that all leads, contacts, and phone numbers provided to Barq Automations for automated messaging (SMS, missed-call text-back, email campaigns) have granted explicit opt-in consent in compliance with applicable local and international communication laws.
  • Human-in-the-Loop Override: While our AI tools automate responses, the Client retains ultimate authority and duty to monitor automated conversations and intervene, take over, or correct AI outputs whenever necessary.

3. AI Capabilities & Disclaimers

  • Informational Nature: AI agents and chatbots built by Barq Automations are automated tools designed to process information based on the data provided to them. They do not constitute legal, financial, or certified professional advice.
  • Accuracy: While we configure AI systems to minimize errors, AI models may occasionally produce inaccurate or incomplete information ("hallucinations"). The Client is responsible for auditing AI knowledge bases and monitoring automated lead workflows.
  • Third-Party Infrastructure: Our AI integrations rely on third-party language models and infrastructure providers. Barq Automations is not liable for temporary service interruptions, API changes, or downtime caused by third-party model providers.

4. Intellectual Property & Ownership

  • Client Materials: The Client retains all rights, title, and interest in and to all data, content, branding, and proprietary assets provided to Barq Automations.
  • Deliverables: Upon full payment of all agreed-upon fees, Barq Automations grants the Client an exclusive or non-exclusive license (as specified in your SOW) to use the final web design deliverables, custom code, and configured AI workflows for their business operations.
  • Agency IP: Barq Automations retains ownership of all underlying pre-existing code, reusable software frameworks, general automations scripts, and internal workflow templates developed prior to or independently of the Client's project.

5. Fees, Subscriptions & Payment

  • Payment Terms: Fees for project builds, monthly maintenance, API token usage, or recurring automations hosting are outlined in your invoice or Statement of Work.
  • Non-Payment: Failure to pay recurring fees may result in the temporary suspension of active AI chatbots, web hosting, or automated messaging services until the account is brought current.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Barq Automations shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities arising out of or in connection with the Services.
  • In no event shall Barq Automations's total aggregate liability exceed the total amount paid by the Client to Barq Automations in the three (3) months preceding the event giving rise to the claim.

7. Termination

Either party may terminate the service agreement upon written notice if the other party breaches a material provision of these Terms and fails to cure such breach within fourteen (14) days. Upon termination, active automated workflows will be decommissioned, and outstanding fees become immediately due.
